1. LiveTicket.app’s Role

1. LiveTicket.app provides a means to organize and manage events, create store pages for an event, sell tickets for the event, and manage entrance to an event.
2. LiveTicket.app is not the creator, organizer or owner of the events listed. Rather, LiveTicket.app provides its Services, which allow Organizers to manage ticketing and registration and promote their events. The Organizer is solely responsible for ensuring that any page displaying an event on the Services (and the event itself) meet all applicable local, state, provincial, national and other laws, rules and regulations, and that the goods and services described on the event page are delivered as described and in an accurate satisfactory manner. LiveTicket.app does not process, hold, or otherwise manage payments made by attendees to an event. Payments are processed and held by Stripe, using the Organizers Stripe account.

2. Your Role

1. You are responsible for providing your own terms of sale with your Ticket Buyers and accordingly, we will direct any Ticket Buyer who raises queries regarding your events or your other products and services to you. You agree:

• to handle all communication with your Ticket Buyers and not to refer them to us for customer support;
• to respond to any queries you receive from Ticket Buyers within 5 days;
• to accept all liability in relation the contractual relationship between you and the Ticket Buyer;
• to notify your Ticket Buyers immediately, and update your LiveTicket.app event page, if your event is canceled, postponed or has a material change from the original information given when the event was first put on sale.

3. Privacy and Consumer Information

1. Information provided to LiveTicket.app by Users, is governed by our Privacy Policy.
2. If you are an Organizer, you represent, warrant and agree that (a) you will at all times comply with all applicable local, state, provincial, national and other laws, rules and regulations with respect to information you collect from (or receive about) consumers, and (b) you will at all times comply with any applicable policies posted on the Services with respect to information you collect from (or receive about) consumers.

4. Fees

1. The fees for using our Service are set out on our website and are charged on a usage basis.
2. Fees are collected automatically for each order by our payment processing partner Stripe. The remaining balance is transferred to your Stripe account.
3. Our fees are non-refundable, even if an event is canceled, or if you decide to refund a ticket.
4. If you decide to fully refund a ticket, including the LiveTicket.app fee, you will need to provide the funds to refund the LiveTicket.app fee yourself.
5. We charge zero fees for tickets which are free to the end user. It is not permitted to charge a customer for a free ticket outside of the liveticket.app platform. If discovered doing so, liveticket.app reserves the right to deactivate the event or suspend the organization on the liveticket.app platform.

5. Taxes

1. You are responsible for (and will indemnify and hold harmless LiveTicket.app against) all taxes or other governmental charges associated with Your Event or Your sale of tickets through the Services (excepting taxes based on LiveTicket.app's net income). For example, some states or countries may charge an amusement or other tax on certain types of Events. It is Your responsibility to know if any applicable laws apply to You and to adjust the ticket price accordingly to account for Your payment of these taxes.

6. Use Restrictions

1. You will not use the LiveTicket.app Site, App or Service for unlawful purposes.
2. You will not submit, stream, or otherwise provide or make available any information or content that is defamatory, indecent, pornographic, obscene, otherwise objectionable or harmful, or that violates the legal rights of third parties through or using the LiveTicket Site, app or Service.
3. You will not engage in data mining or similar data gathering or extraction activities or retrieve data or other content from the LiveTicket Site, app or Service for purposes of creating or compiling that content for any purpose other than your authorized use of the LiveTicket Site, app or Service as permitted by this Agreement.
4. You will not access, use, or copy any portion of the LiveTicket Site, app or Service, including any of its content, through the use of indexing agents, spiders, scrapers, bots, web crawlers, or other automated devices or mechanisms.
5. You will not use the LiveTicket Site, app or Service to post, transmit, input, upload, or otherwise provide any information or material that contains any viruses, worms, Trojan horses, logic bombs, time bombs, cancelbots, malware, ransomware, adware, or other harmful computer code or programming routines, including those designed to or that reasonably may disable, damage, impair, interfere with, surreptitiously intercept, or expropriate the LiveTicket Site, app or Service or any computers, hardware, software, system, data, or networks.
6. You will not engage in activities that aim to render the LiveTicket Site, app or Service or associated services inoperable or to make their use more difficult.

7. Term and Termination

1. LiveTicket.app may terminate your right to use the Services at any time

• if you violate or breach these Terms;
• if you misuse or abuse the Services, or use the Services in a way not intended or permitted by LiveTicket.app; or

-if allowing you to access and use the Services would violate any applicable local, state, provincial, national and other laws, rules and regulations or would expose LiveTicket.app to legal liability.

1. LiveTicket.app may choose to stop offering the Services, or any particular portion of the Service, or modify or replace any aspect of the Service, at any time. We will use reasonable efforts to provide you with notice of our termination of your access to the Services, where, in LiveTicket.app’s sole discretion, failure to do so would materially prejudice you. You agree that LiveTicket.app will not be liable to you or any third-party as a result of its termination of your right to use or otherwise access the Services.

8. Release and Indemnification

1. You hereby agree to release LiveTicket.app from all damages (whether direct, indirect, incidental, consequential or otherwise), losses, liabilities, costs and expenses of every kind and nature, known and unknown, arising out of a dispute between you and a third party (including other Users) in connection with the Services or any event listed on the Services. In addition, you waive any applicable law or statute, which says, in substance: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE RELEASED PARTY."
2. Indemnification. You agree to defend, indemnify and hold LiveTicket.app and each of its and their respective officers, directors, agents, co-branders, licensors, payment processing partners, other partners and employees, harmless from any and all damage (whether direct, indirect, incidental, consequential or otherwise), loss, liability, cost and expense (including, without limitation, reasonable attorneys' and accounting fees) resulting from any claim, demand, suit, proceeding (whether before an arbitrator, court, mediator or otherwise) or investigation made by any third party (each a "Claim") relating to or arising out of:

• your breach of these Terms (including any terms or agreements or policies incorporated into these Terms);
• your use of the Services in violation of these Terms or other policies we post or make available;
• your breach of any applicable local, state, provincial, national or other law, rule or regulation or the rights of any third party;
• LiveTicket.app’s collection and remission of taxes; and
• if you are an Organizer, your events (including where LiveTicket.app has provided Services with respect to those events), provided that in the case of (e) this indemnification will not apply to the extent that the Claim arises out of LiveTicket.app's gross negligence or willful misconduct.
